Terms of Use

These Terms of Use constitute a legally binding agreement. By accessing or using the Website in any manner, you confirm that you have read, understood, and unconditionally agreed to be bound by these Terms. If you do not agree, you must immediately cease all use of the Website.

1. PARTIES AND ACCEPTANCE

1.1. These Terms of Use (“Terms”) govern access to and use of the website at www.bidso.com (“Website”), operated by Bidso India Private Limited, a company incorporated under the Companies Act, 2013 (CIN: U32402KA2023PTC169948), with its registered office at 160202 Shriram Chirping Woods, 12th Main Subh Enclave, Harlur Road, Bangalore, HSR Layout, Bangalore, Bangalore South, Karnataka, India, 560102 (“Bidso”, “we”, “us”, “our”, “Company”).

1.2. By accessing the Website, you (“User”, “you”, “your”), whether as an individual acting in your personal capacity or as a representative of a legal entity, unconditionally accept these Terms, our Privacy Policy, and all applicable laws. Where you access the Website on behalf of a legal entity, you represent and warrant that you have the legal authority to bind that entity, and these Terms shall apply to that entity accordingly.

1.3. The Website is intended solely for use by individuals (whether acting in your personal capacity or as a representative of a legal entities) who are at least 18 years of age (or the applicable age of majority in their jurisdiction, if higher). By accessing the Website, you represent and warrant that you meet this age requirement. If Bidso becomes aware that a person under 18 has accessed the Website or submitted personal data through it, Bidso will take steps to restrict their access and, where applicable, delete any personal data submitted by such person, in accordance with the DPDP Act (as defined below).

1.4. Bidso may revise these Terms at any time per Clause 18.8 (Updates). The version published on the Website at the time of your visit shall govern. You are encouraged to review these Terms periodically.

1.5. These Terms should be read together with Bidso's Privacy Policy and Cookie Policy, both of which are incorporated herein by reference.

 

2. NATURE AND PURPOSE OF THE WEBSITE; ACCESSIBILITY

2.1. The Website is a commercial information, capability-presentation, and business lead-generation platform through which Bidso presents its original design manufacturing services, including product design, engineering, licensed product development, and large-scale manufacturing to prospective business partners, brand clients, and visitors.

2.2. The Website is directed exclusively at a business-to-business (B2B) audience. It is not a consumer-facing retail platform and does not facilitate the sale of products to individual end-consumers. No product purchases, service orders, or contractual commitments of any kind are entered into through the Website; all such arrangements are subject to separate agreements between the parties.

2.3. Information on the Website is provided for general informational purposes only and does not constitute a binding offer, representation, warranty, or invitation to treat.

2.4. Bidso is committed to making the Website accessible to the widest possible audience, including persons with disabilities. We endeavour to maintain the Website in a manner consistent with the guidelines issued under the Rights of Persons with Disabilities Act, 2016 and applicable Indian government accessibility standards, to the extent practicable for a commercial website of this nature. If you encounter any accessibility barrier on the Website, please contact the Grievance Officer (see Clause 17) and we will endeavour to address your concern in a timely manner.

3. PERMITTED USE AND LICENCE

3.1. Subject to your compliance with these Terms, Bidso grants you a limited, personal, non-exclusive, non-transferable, revocable, royalty-free licence to access and use the Website solely for the following purposes:

  • 3.1.1. reviewing information about Bidso's capabilities, services, and credentials;

  • 3.1.2. submitting a genuine, good-faith business enquiry through the contact form; and

  • 3.1.3. accessing publicly available news and editorial content posted on the Website.

3.2. This licence does not permit any commercial exploitation of the Website or its Content (as defined below), nor does it permit any use that competes with or undermines Bidso's business interests. Any use beyond the scope of Clause 3.1 requires Bidso's prior written consent.

3.3. This licence expressly excludes any right to use, copy, reproduce, or otherwise exploit any Content from the Website for the purpose of training, fine-tuning, developing, or improving any artificial intelligence, machine learning, large language model, image generation, or similar automated system, whether developed by you or a third party.

3.4. Bidso reserves the right to modify, suspend, restrict, or terminate your access to the Website at any time, with or without cause, and without prior notice or liability.

4. PROHIBITED CONDUCT

4.1. You shall not, and shall not permit or cause any third party to:

  • 4.1.1. use the Website for any purpose that is unlawful, fraudulent, deceptive, defamatory, threatening, abusive, harassing, or otherwise objectionable;

  • 4.1.2. copy, reproduce, distribute, republish, download, scrape, index, mirror, frame, deep-link, or otherwise extract or exploit any Content from the Website in any form or by any means, whether automated or manual, without Bidso's prior written consent;

  • 4.1.3. introduce, or attempt to introduce, any virus, malware, ransomware, Trojan horse, worm, logic bomb, keystroke logger, spyware, adware, or any other harmful or malicious code into the Website or its underlying systems;

  • 4.1.4. attempt to gain unauthorised access to any part of the Website, its servers, databases, network infrastructure, or any system connected thereto;

  • 4.1.5. perform or facilitate any denial-of-service or distributed denial-of-service attacks, or any other form of attack that disrupts, degrades, or impairs the Website or related services;

  • 4.1.6. use any robot, spider, crawler, scraper, data-mining tool, site search or retrieval application, or other automated device or process to access, retrieve, index, or otherwise interact with the Website for any purpose;

  • 4.1.7. use any automated system, including generative artificial intelligence tools, large language model scrapers, or training data aggregation pipelines, to collect, extract, or process any Content from the Website for the purpose of training, fine-tuning, or developing any artificial intelligence or machine learning model;

  • 4.1.8. create, generate, distribute, or use any deepfake, synthetic media, or artificial intelligence generated image, voice, or likeness using Content, product photography, or any other material sourced from the Website

  • 4.1.9. transmit unsolicited or unauthorised advertising, spam, promotional material, chain letters, or bulk communications through any channel linked to the Website;

  • 4.1.10. impersonate Bidso, any Bidso director, employee, or agent, or any other person or entity;

  • 4.1.11. submit false, inaccurate, or misleading information through the contact form or any other communication feature on the Website;

  • 4.1.12. reverse-engineer, decompile, disassemble, or attempt to derive the source code of any software underlying the Website;

  • 4.1.13. link to the Website in any manner that is deceptive, disparaging, likely to harm Bidso's reputation, or that implies any endorsement or association not expressly authorised by Bidso in writing; or

  • 4.1.14. use the Website to collect, harvest, or compile information about other users, visitors, or third parties.

4.2. Bidso may investigate any suspected violations and cooperate with law enforcement authorities or regulators in connection with any illegal or unauthorised use of the Website. Bidso reserves the right to take all necessary legal action, including seeking injunctive relief and damages, against any person responsible for such violations.

5. INTELLECTUAL PROPERTY RIGHTS

5.1. Ownership. All Content on the Website, including but not limited to text, graphics, logos, product descriptions, photographs, icons, data compilations, audio and video clips, software, and the overall look and feel of the Website (“Content”) is the exclusive property of Bidso or its licensors and is protected under applicable Indian and international intellectual property laws, including the Copyright Act, 1957, the Trade Marks Act, 1999, the Patents Act, 1970, and the Designs Act, 2000, in each case as amended from time to time.

5.2. Trademarks. The ‘Bidso’ name and logo, and all related product and service names, design marks, and slogans are proprietary trademarks or service marks of the Company. Nothing in these Terms grants you any right or licence to use, reproduce, or display any such marks for any purpose whatsoever without Bidso's prior written consent.

5.3. No Licence by Display. The display of any Content on the Website does not constitute a grant of any licence, right, or interest in that Content to you. No licence of any kind is granted merely by making Content available on the Website.

5.4. Third-Party IP. Licensed character intellectual property, entertainment properties, and brand marks of third-party licensors (including global character franchises, animation studios, and kids media brands) displayed on the Website remain the exclusive property of their respective rights holders. Bidso's status as a licensed manufacturer does not grant you any rights in or to such third-party intellectual property.

5.5. Non-Confidential Submissions. Any information, materials, ideas, suggestions, or other content that you submit to Bidso through the Website, other than personal data governed by the Privacy Policy, shall be deemed non-confidential and non-proprietary. By submitting such information, you grant Bidso a limited, worldwide, royalty-free licence to use and reproduce such information solely for the purpose of evaluating your enquiry, maintaining a record of business correspondence, and, where applicable, following up with you in relation to a potential business relationship. Bidso will not use your submissions for any other purpose (such as marketing, product development, or publication) without your prior consent.

5.6. Permitted Use. You may print or download individual pages or hyperlinked documents (such as brochures) from the Website for your personal, non-commercial reference only, provided that: (a) all copyright, trademark, and other proprietary notices are preserved; (b) no modifications are made; and (c) the downloaded material is not used in any manner that could mislead or deceive any person as to its source or origin.

6. PRIVACY AND PERSONAL DATA

6.1. Privacy Policy. The collection, processing, storage, and protection of personal data submitted to or collected through the Website is governed by Bidso's Privacy Policy, which is incorporated into these Terms by reference. By using the Website, you acknowledge that you have read and understood the Privacy Policy.

6.2. Regulatory Framework. Bidso processes personal data in accordance with the Digital Personal Data Protection Act, 2023 (“DPDP Act”) and the Digital Personal Data Protection Rules, 2025 (“DPDP Rules”), as well as the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 (“SPDI Rules”), in each case, to the extent it in in force, and all other applicable Indian data protection laws and regulations.

6.3. Language of Privacy Notices. In accordance with the DPDP Rules, Bidso shall ensure that its consent notice and key privacy information are made available in English. Additional language translations may be made available on the Website at Bidso’s discretion.

6.4. Data Collected. Categories of data that may be collected is set out in the Privacy Policy.

6.5. Purposes of Processing. Bidso processes the data collected for the purposes set out in the Privacy Policy.

6.6. Consent. Where processing is based on consent under the DPDP Act, by submitting the contact form you provide your informed and explicit consent to such processing. You may withdraw consent at any time by contacting the Grievance Officer (see Clause 12). Withdrawal of consent will not affect the lawfulness of any processing carried out prior to the withdrawal.

6.7. Data Minimisation. Bidso collects only the personal data that is necessary for the purposes set out above. You are not required to provide more information than is reasonably necessary to process your enquiry.

6.8. Data Security. Bidso adopts reasonable technical and organisational security measures, including access controls, and encryptions to safeguard personal data against unauthorised access, disclosure, alteration, or destruction. Further details are set out in the Privacy Policy.

6.9. Data Sharing. Bidso does not sell personal data but may be disclosed in the manner set out in the Privacy Policy.

6.10. Rights of Data Principals. As a ‘Data Principal’ under the DPDP Act, you have the rights set out in the Privacy Policy. You may exercise these rights by contacting the Grievance Officer.

7. COOKIES AND TRACKING TECHNOLOGIES

7.1. The Website uses cookies and similar tracking technologies (including web beacons and pixel tags) to deliver core functionality, improve user experience, and gather analytics data about Website usage.

7.2. Categories of Cookies. Please refer to the Cookie Policy for full details of the categories of cookies used, their providers, purposes, and durations.

7.3. Consent for Non-Essential Cookies. Bidso will seek your prior, active, and freely given consent before placing any non-essential cookies (including functional/performance cookies and analytics cookies) on your device. This consent is obtained through a cookie consent banner displayed on your first visit to the Website, which allows you to accept all non-essential cookies or to customise your preferences by category. Strictly Necessary cookies are deployed without consent as they are essential for the operation of the Website.

7.4. Managing Preferences. You may withdraw or adjust your cookie preferences at any time by: (a) clicking the ‘Manage Cookies’ link in the Website footer; or (b) adjusting your browser settings. Note that disabling certain cookies may affect the functionality of parts of the Website.

7.5. Third-party service providers (including Wix.com Ltd. and Amazon) may independently place cookies on your device subject to their own privacy and cookie policies. Bidso does not control, and is not responsible for, such third-party cookies.

8. CONFIDENTIALITY OF USER SUBMISSIONS

8.1. Please do not send confidential, proprietary, or trade-secret information to Bidso through the Website's contact form or any other public-facing communication channel.

8.2. Any information (other than personal data protected under the Privacy Policy) that you transmit to Bidso through the Website, whether intentionally or inadvertently, will be treated as non-confidential and non-proprietary. This applies regardless of any legend, marking, or notation on such information to the contrary.

8.3. If you wish to share confidential information in connection with a potential business arrangement, Bidso and you may agree and process the execution of a non-disclosure agreement prior to any such disclosure.

9. THIRD-PARTY LINKS AND CONTENT

9.1. The Website may contain hyperlinks to third-party websites, publications, social media platforms (including LinkedIn), and media outlets. These links are provided for informational convenience only and do not constitute an endorsement, sponsorship, or affiliation by Bidso.

9.2. Bidso does not control, and assumes no responsibility for, the content, accuracy, availability, privacy practices, or security of any third-party websites. Your access to and use of third-party websites is entirely at your own risk and is subject to the terms and conditions applicable to those websites.

9.3. You must obtain Bidso's prior written consent before establishing any hyperlink to the Website from any external website or platform.

10. DISCLAIMERS

10.1. “As Is” Basis. The Website and all Content are provided on an “as is” and “as available” basis, without any express, implied, statutory, or other warranties of any kind, to the fullest extent permitted by applicable law. This includes, without limitation, implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, timeliness, and non-infringement.

10.2. No Warranty of Accuracy. While Bidso endeavours to keep the information on the Website current and accurate, it makes no representation or warranty as to the completeness, accuracy, reliability, or timeliness of any Content. The Content is subject to change without notice and may contain technical inaccuracies or typographical errors.

10.3. No Professional Advice. Nothing on the Website constitutes legal, financial, technical, regulatory, or other professional advice. Users should seek independent professional advice before acting on any information found on the Website.

10.4. No Warranty of Availability. Bidso does not warrant that the Website will be available at all times, uninterrupted, error-free, virus-free, or secure. Bidso reserves the right to modify, suspend, or permanently discontinue the Website, or any part thereof, at any time without notice.

10.5. Jurisdictional Availability. The Website is controlled and operated by Bidso from India. Bidso makes no representation that the Website or its Content is appropriate or legally permissible for use in locations outside India. Users who access the Website from outside India do so at their own initiative and risk and are solely responsible for compliance with applicable local laws and regulations.

11. LIMITATION OF LIABILITY

11.1. To the maximum extent permitted by applicable Indian law, Bidso, its subsidiaries, affiliates, directors, officers, employees, agents, licensors, and service providers shall not be liable for any:

  • 11.1.1. indirect, incidental, consequential, punitive, special, or exemplary damages;

  • 11.1.2. loss of profits, revenue, business, goodwill, data, contracts, or anticipated savings;

  • 11.1.3. business interruption losses;

  • 11.1.4. damage arising from unauthorised access to or alteration, disclosure, or destruction of your data or transmissions; or

  • 11.1.5. any other loss or damage of any nature arising out of or in connection with your use of, or inability to use, the Website or its Content,

  • 11.1.6. whether based in contract, tort (including negligence), statute, or otherwise, and even if Bidso has been advised of the possibility of such loss or damage.

11.2. To the extent that Bidso's liability cannot be fully excluded under applicable Indian law, Bidso's total aggregate liability to you for any claim arising out of or in connection with the Website shall not exceed [INR 10,000 (Indian Rupees Ten Thousand)].

11.3. Nothing in these Terms shall limit or exclude any liability that cannot lawfully be limited or excluded under applicable Indian law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

12. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Bidso, its affiliates, directors, officers, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and court costs) arising out of or relating to: (a) your access to or use of the Website; (b) your breach of these Terms or the Privacy Policy; (c) your violation of any applicable law, regulation, or third-party right; or (d) any content, data, or information submitted by you through the Website.

13. SECURITY AND SYSTEM INTEGRITY

13.1. You are responsible for ensuring that any device from which you access the Website is free from viruses and other malicious code, and is adequately secured against unauthorised access.

13.2. Bidso does not guarantee that the Website is free from viruses or other harmful components and accepts no liability for any damage to your device, software, or data arising from your use of the Website.

13.3. Any suspected security vulnerabilities or incidents relating to the Website should be reported promptly to the Grievance Officer. Bidso will take appropriate steps to investigate and address reported vulnerabilities in accordance with responsible disclosure principles.

14. EXPORT CONTROL AND REGULATORY COMPLIANCE

14.1. You acknowledge and agree that you will comply with all applicable laws and regulations, including applicable Indian and international export control, trade sanction, and re-export laws and regulations, in connection with your access to and use of the Website.

14.2. You shall not use the Website in any manner that would cause Bidso to violate any applicable law or regulation, including laws relating to anti-bribery and anti-corruption (including the Prevention of Corruption Act, 1988), sanctions, and anti-money laundering.

15. GOVERNING LAW AND DISPUTE RESOLUTION

15.1. Governing Law. These Terms and any dispute or claim arising out of or in connection with them, or their subject matter or formation (including non-contractual disputes), shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.

15.2. Exclusive Jurisdiction. Subject to Clause 15.3, the courts of Bengaluru, Karnataka, India shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms.

15.3. Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, which the parties are unable to resolve by good-faith negotiation within 30 (thirty) days of written notice, shall be referred to and finally resolved by arbitration as follows:

  • 15.3.1. Governing Rules: Arbitration and Conciliation Act, 1996 (as amended by the Arbitration and Conciliation (Amendment) Act, 2021)

  • 15.3.2. Seat and Venue: Bengaluru, Karnataka, India

  • 15.3.3. Number of Arbitrators: Sole arbitrator, mutually appointed; failing agreement within 15 days, appointed in accordance with the Act

  • 15.3.4. Language: English

  • 15.3.5. Award: Final and binding on the parties

  • 15.3.6. All arbitral proceedings, submissions, evidence, and awards shall be kept strictly confidential by both parties and the arbitrator, except to the extent required by applicable law or court order

15.4. Nothing in Clause 15.3 shall prevent either party from seeking emergency injunctive or other urgent interim relief from a competent court of law.

16. FORCE MAJEURE

Bidso shall not be liable to you for any delay in, or failure of, performance of its obligations under these Terms to the extent such delay or failure is caused by circumstances beyond Bidso's reasonable control, including acts of God, natural disasters, pandemic or epidemic, fire, flood, war, civil unrest, terrorist act, government action, change in law or regulation, industrial action, failure of internet or telecommunications infrastructure, or failures of third-party platforms or service providers.

17. GRIEVANCE OFFICER AND DATA PRINCIPAL RIGHTS

17.1. In accordance with the Information Technology Act, 2000, the SPDI Rules, and the DPDP Act, Bidso has designated a Grievance Officer to address complaints and concerns relating to personal data processing and the use of the Website:

17.2. Complaints will be acknowledged within 48 (forty-eight) hours and resolved within 30 (thirty) days of receipt, in accordance with applicable law.

17.3. If you are not satisfied with the resolution provided by the Grievance Officer, you may escalate your complaint to the Data Protection Board of India in accordance with the DPDP Act.

18. GENERAL PROVISIONS

18.1. Entire Agreement. These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Bidso with respect to your use of the Website and supersede all prior and contemporaneous understandings, representations, and agreements on the same subject matter.

18.2. Severability. If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a competent court or arbitral tribunal, such provision shall be deemed severed from the remaining Terms (modified to the minimum extent necessary), which shall continue in full force and effect.

18.3. Waiver. No failure or delay by Bidso in exercising any right or remedy provided by these Terms or by law shall constitute a waiver of that or any other right or remedy. No single or partial exercise of any right or remedy shall prevent any further exercise of that or any other right or remedy.

18.4. Assignment. You may not assign, transfer, sublicense, or otherwise deal with any of your rights or obligations under these Terms without Bidso's prior written consent. Bidso may freely assign its rights and obligations under these Terms (in whole or in part) to any affiliate, successor, or acquirer in the context of a merger, acquisition, or change of control.

18.5. Survival. Clauses 5 (Intellectual Property Rights), 8 (Confidentiality of User Submissions), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 15 (Governing Law and Dispute Resolution), and any other provision that by its nature should survive, shall survive any expiry or termination of these Terms.

18.6. No Partnership. Nothing in these Terms creates a joint venture, partnership, agency, franchise, or employment relationship between you and Bidso.

18.7. Electronic Notices. Any notice sent by Bidso to you by email shall be deemed received 48 (forty-eight) hours after despatch, provided the email address used was the address you last provided to Bidso. Any notice posted on the Website shall be deemed received at the time of posting.

18.8. Language. These Terms are executed in English. In the event of any conflict between the English version and any translated version, the English version shall prevail.

18.9. Updates. Bidso reserves the right to update or modify these Terms at any time. The updated Terms will be posted on the Website with a revised “Last Updated” date. Material changes (such changes to permitted use, liability, dispute resolution, or data handling) will be notified to the extent practicable via a prominent Website banner. If you do not accept material changes, you must cease using the Website. Your continued use of the Website constitutes acceptance of any updated Terms.
